1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Foundative Inc. ("Foundative," "Coral," "we," "us," or "our") governing your access to and use of Coral's website, dashboard, iMessage assistant, artificial intelligence features, connected applications, browser automation, and related services (collectively, the "Services").

By affirmatively accepting these Terms, subscribing to Coral, or accessing the Services after receiving legally sufficient notice, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

Our Privacy Policy (https://messagecoral.com/privacy) describes how we collect, process, and handle personal information.

Additional terms may apply to specific features, integrations, or transactions.

The automatic creation of an account or addition of Coral to a group conversation does not, by itself, establish legally binding acceptance by every group participant.

2. Eligibility and Account Responsibilities

You must have the legal capacity to enter into these Terms to purchase a subscription or independently authorize legally binding transactions.

Minors may use supported features only with permissions, supervision, and protections required by applicable law and connected services.

Use by children under 13 requires prior arrangements with Foundative and any legally required parental notice, consent, and safeguards. Contact mailto:support@result.dev before arranging such use.

You agree to:

  • Provide accurate account information where required.
  • Use only accounts, phone numbers, and payment methods you are authorized to access.
  • Protect your devices, credentials, authentication codes, and account sessions.
  • Notify us of suspected unauthorized use.
  • Comply with applicable laws and relevant third-party terms.

You are responsible for authorized instructions and account activity attributable to you, subject to applicable law and Foundative's own legal responsibilities.

We may require additional authentication or verification before enabling sensitive features.

3. Description of Services

Coral is an AI-powered assistant that may help users communicate, retrieve information, organize activities, manage connected applications, and perform authorized tasks.

Features may include:

  • AI-powered messaging and conversations.
  • Email, calendar, document, and contact integrations.
  • Personal and family spaces.
  • Reminders, scheduled tasks, and notifications.
  • Browser automation and website interactions.
  • Location-related features.
  • Purchases and third-party transactions.

Coral uses automated software, AI models, and external infrastructure. Not every response or action receives individual human review.

Features may change, become restricted, or be discontinued.

We do not guarantee that all features will remain continuously available or that every instruction will be completed successfully.

4. Subscription, Billing, and Renewal

4.1 Subscription Price

Coral is available for $20 USD per month, plus applicable taxes disclosed at checkout, unless a different price or promotion is expressly offered.

A subscription belongs to the individual who purchases it.

Subject to applicable access rules, an active subscription covers that person and Coral family groups in which they are an active member, including supported private conversations for family members.

If the subscriber leaves a family group, that group's coverage ends unless another active subscriber provides coverage.

4.2 Automatic Renewal

Your subscription automatically renews every month until you cancel.

By subscribing and providing any legally required affirmative consent to recurring billing, you authorize our payment processor to charge your payment method for subscription fees and applicable taxes on a recurring basis.

Your subscription continues until canceled or otherwise terminated in accordance with these Terms.

4.3 Cancellation

You may cancel at any time through Settings (https://messagecoral.com/settings) under Plan.

Cancellation ordinarily takes effect at the end of the current paid billing period, and access remains available until then.

Deleting your account terminates your subscription and access immediately.

Cancellation methods and notices will comply with applicable law.

4.4 Refunds

Except as required by law or expressly provided in a particular offer, payments are non-refundable.

We do not ordinarily provide prorated refunds or credits for partial months, unused subscription periods, account deletion, or voluntary non-use.

Nothing in this section limits mandatory consumer refund rights or other remedies required by law.

4.5 Failed Payments

If a payment fails, Stripe may retry the charge.

Your subscription may remain active during supported retry periods. If payment ultimately fails, subscription coverage may end.

Without an active subscription, Coral may pause responses, reminders, briefs, alerts, and scheduled tasks.

Subscription expiration does not automatically delete previously stored information.

4.6 Price Changes

We may change subscription prices prospectively.

Where required, we will give advance notice, obtain necessary consent, and provide the opportunity to cancel before changes take effect.

Required subscription confirmations and recurring-billing notices will be provided in accordance with applicable law.

4.7 Payment Processing

Stripe processes subscription payments.

Foundative does not ordinarily receive complete payment-card details from Stripe checkout.

Promotional codes are subject to their disclosed conditions and have no cash value unless otherwise required by law.

5. User Instructions and Automated Actions

5.1 Authorization

When you instruct Coral to perform a task, you authorize it to take steps reasonably necessary to complete that task within your permissions and the applicable approval process.

Actions may involve interacting with websites, applications, services, merchants, or other third parties.

You should clearly specify material details, including recipients, dates, amounts, limits, and preferences.

Ambiguous, incomplete, or incorrect instructions may lead to unintended results.

Coral may request clarification, require additional approval, or decline certain actions.

5.2 AI and Automation Risks

Coral uses automated systems that may misunderstand requests, produce incorrect information, or perform actions differently from what you intended.

Results may be affected by technical errors, website changes, external information, expired credentials, unavailable services, or other operational limitations.

To the fullest extent permitted by applicable law, Foundative does not guarantee that automated actions will always produce your intended result.

5.3 Scheduled Tasks

Scheduled tasks may execute later using the permissions and connected accounts associated with the user who enabled them.

You are responsible for reviewing and managing your scheduled instructions, including modifying or disabling them when necessary.

Pausing or modifying a task may not reverse actions already completed or prevent actions that have passed their final execution point.

5.4 Consequential Actions

Automated actions may send communications, change external records, submit forms, create reservations, or initiate authorized transactions.

You should verify consequential outcomes through the relevant external service.

A generated response, prepared task, or approved instruction does not necessarily confirm successful completion.

6. Family Groups and Shared Access

Coral supports shared spaces in which multiple users may interact with shared information and features.

Depending on permissions, family members may access shared history, tasks, files, memories, budgets, browser sessions, saved website logins, and payment methods.

New members may gain access to information previously stored in the relevant family space.

6.1 Your Responsibilities

You should inform group members when adding Coral, including that Coral may process messages even when it does not respond.

You must not share information, accounts, or payment methods without appropriate authorization.

You are responsible for using reasonable care when configuring permissions and granting access.

6.2 Shared Accounts and Sessions

Family spaces may provide access to authenticated website sessions, browser activity, and saved payment methods.

These features may enable authorized members to view information or initiate actions through shared accounts.

You acknowledge the risks associated with sharing sensitive information and account access.

Foundative cannot guarantee that authorized participants will not copy, disclose, or misuse information made available to them.

6.3 Membership Changes

Family membership and access permissions may change.

Removing a member, disabling sharing, or deleting a family space does not necessarily reverse completed actions or recover previously accessed information.

Family owners may reset or remove shared spaces through supported controls.

Deleting an owner's account may also result in deletion of family spaces owned by that account.

7. Purchases and Third-Party Transactions

7.1 Purchase Authorization

Coral may assist with purchases through supported merchants and payment providers.

Where an approval flow is required, Coral must obtain applicable authorization before proceeding.

Before approving, you should review the merchant, items, prices, total amount, currency, delivery details, dates, and relevant cancellation or refund conditions.

Approval authorizes Coral to proceed within the scope of the approved transaction and workflow.

Saving a payment method does not, by itself, authorize unrelated future charges.

7.2 Merchant Responsibility

Unless expressly stated otherwise, Foundative is not the merchant or seller of products or services purchased through Coral.

The relevant merchant is responsible for its products, availability, fulfillment, delivery, refunds, subscriptions, and contractual obligations, subject to applicable law.

Merchant transactions are governed by the relevant merchant's terms.

Coral may facilitate an authorized transaction without becoming a party to the underlying sale.

7.3 Payment Providers

Supported transactions may involve Crossmint, card networks, banks, and payment processors.

These services operate under their own terms and policies.

Foundative does not control independent merchant or payment-provider decisions concerning payment authorization, transaction approval, fulfillment, or refunds.

7.4 Transaction Errors

You should independently verify transaction status before repeating a purchase instruction.

A missing confirmation or delayed response does not necessarily mean an order was unsuccessful.

Canceling a pending approval, deleting Coral, or removing a saved payment method may not cancel a completed transaction.

Third-party subscriptions generally must be canceled through the relevant merchant.

7.5 Financial Responsibility

To the extent permitted by applicable law, you are responsible for payments, fees, and commercial obligations resulting from transactions you validly authorize.

Foundative is not responsible for losses caused solely by independent merchant failures or unauthorized third-party conduct outside Foundative's control, except where liability is imposed by law.

Nothing in these Terms authorizes undisclosed charges or eliminates legally required transaction consent.

8. Accuracy and Reliance on AI

Coral uses artificial intelligence systems that may produce inaccurate, incomplete, outdated, or misleading information.

Responses may not be unique and may resemble information generated for other users.

You agree to use appropriate judgment and independently verify consequential information.

Coral does not provide professional medical, legal, financial, or investment advice.

Coral is not an emergency-response service, safety-critical monitoring system, or guaranteed means of delivering urgent communications.

Reminders, alerts, location information, and scheduled actions may be delayed, incorrect, or unavailable.

You should use appropriate professionals, official sources, or emergency services when necessary.

To the fullest extent permitted by applicable law, Foundative disclaims liability for losses arising solely from reliance on unverified AI-generated information.

9. Acceptable Use

You agree not to use Coral to:

  1. Engage in fraud, unlawful conduct, or deception.
  2. Access accounts or information without authorization.
  3. Harass, threaten, exploit, or unlawfully monitor other individuals.
  4. Violate privacy, intellectual-property, or other third-party rights.
  5. Circumvent security controls or authentication systems.
  6. Introduce malicious software or disrupt the Services.
  7. Initiate unauthorized financial transactions.
  8. Misrepresent your identity or authorization.
  9. Reverse-engineer, scrape, copy, or commercially exploit the Services except as permitted by law or expressly authorized.
  10. Violate applicable third-party service rules or legal requirements.

We may investigate suspected violations and take proportionate steps to protect the Services, users, and third parties.

10. User Content and Intellectual Property

10.1 Your Content

As between you and Foundative, you retain any ownership rights you possess in content you provide.

You grant Foundative and its authorized service providers a non-exclusive, worldwide, royalty-free license to access, host, store, process, reproduce, transmit, and display that content as reasonably necessary to provide the Services, fulfill authorized instructions, maintain security, and operate the relevant functionality, consistent with the Privacy Policy and applicable law.

You represent that you possess the rights and permissions necessary to submit and share your content.

10.2 AI Outputs

Subject to applicable law and third-party rights, you may use outputs generated for you through Coral.

Foundative does not guarantee that outputs are accurate, original, unique, non-infringing, or suitable for a particular purpose.

You are responsible for evaluating outputs before relying on, distributing, or publishing them.

10.3 Foundative Intellectual Property

Foundative and its licensors retain all rights in Coral's software, technology, interfaces, trademarks, branding, and related intellectual property.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms during your authorized period of access.

No other intellectual-property rights are transferred.

11. Third-Party Services

Coral relies on messaging platforms, AI model providers, browser automation systems, cloud infrastructure, connected applications, payment processors, and other external services.

Third parties independently control aspects of their functionality, policies, security, and availability.

Foundative does not guarantee the performance, continuity, accuracy, or availability of independent third-party services.

External providers may impose limits, change interfaces, experience outages, or discontinue access.

To the fullest extent permitted by law, Foundative is not responsible for losses attributable solely to the independent acts, omissions, or failures of third parties.

Your use of such services may also be governed by separate agreements with those providers.

12. Privacy and Data Protection

Our Privacy Policy (https://messagecoral.com/privacy) describes how information is collected, processed, stored, and disclosed.

You acknowledge that providing the Services may require processing messages, files, connected-service information, and other content.

You must have appropriate authorization to provide information concerning other individuals or connect third-party accounts.

Foundative's handling of personal information remains subject to applicable privacy laws and contractual obligations.

Nothing in these Terms waives or limits non-waivable privacy rights or statutory obligations.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

EXCEPT FOR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED, FOUNDATIVE AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

FOUNDATIVE DOES NOT WARRANT THAT:

  • The Services will always be available, secure, or uninterrupted.
  • AI-generated responses will be accurate, complete, or reliable.
  • Automated tasks will be interpreted or completed correctly.
  • Connected applications will remain functional or accessible.
  • Notifications, reminders, or location features will always work.
  • Information or task results will always be recoverable.
  • Errors, interruptions, or vulnerabilities will always be corrected.

NO INFORMATION OR ADVICE PROVIDED THROUGH THE SERVICES CREATES A WARRANTY NOT EXPRESSLY ESTABLISHED BY THESE TERMS.

Nothing in this section excludes mandatory consumer rights or warranties that cannot lawfully be excluded.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

14.1 Exclusion of Certain Damages

FOUNDATIVE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF OPPORTUNITY, OR LOSS OF DATA, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.

14.2 Service-Specific Risks

SUBJECT TO APPLICABLE LAW, FOUNDATIVE WILL NOT BE LIABLE TO THE EXTENT LOSSES ARE CAUSED BY:

  • Incorrect or incomplete instructions provided by users.
  • Actions validly authorized by users.
  • Independent failures of merchants, banks, or other third parties.
  • Inaccurate information originating from external sources.
  • Credentials compromised outside Foundative's reasonable control.
  • Independent actions of authorized family or group members.
  • Interruptions or failures of third-party infrastructure.
  • User reliance on unverified AI-generated outputs.

These exclusions do not eliminate responsibility for Foundative's own legally actionable conduct.

14.3 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDATIVE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) US $100; OR

(B) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO FOUNDATIVE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This cap applies collectively across related claims and legal theories to the extent permitted by law.

14.4 Exceptions

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, personal injury, statutory privacy violations, or other conduct to the extent such limitation is prohibited by applicable law.

These Terms do not restrict non-waivable consumer rights or remedies.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Foundative and its officers, directors, employees, and agents against third-party claims, damages, liabilities, judgments, and reasonable legal expenses arising from:

  1. Your material breach of these Terms.
  2. Your unlawful or unauthorized use of the Services.
  3. Your violation of another person's legal rights.
  4. Content or information submitted without required authorization.
  5. Transactions knowingly initiated without proper authority.
  6. Misuse of connected accounts, shared sessions, or payment methods attributable to you.

This obligation applies only to the extent a claim is attributable to your conduct and not to Foundative's own negligence, misconduct, breach of law, or other legally actionable conduct.

We will provide reasonable notice of indemnifiable claims where practicable and will not agree to a settlement imposing an admission of wrongdoing or non-monetary obligation on you without your consent.

Nothing in this section requires indemnification where prohibited by applicable consumer law.

16. Suspension and Termination

We may suspend, restrict, or terminate access where reasonably necessary due to:

  • Material violations of these Terms.
  • Suspected fraud or unauthorized activity.
  • Security threats or risks to users.
  • Failure to pay applicable fees.
  • Legal or regulatory obligations.
  • Material service failures or discontinuation.

Where practicable and appropriate, we may provide notice or an opportunity to resolve the issue.

You may stop using Coral or delete your account through supported account settings.

Account deletion may terminate your subscription immediately and initiate removal of associated information under the Privacy Policy.

Termination does not reverse completed transactions, emails, account changes, or other external actions.

Provisions concerning intellectual property, accrued payment obligations, liability limitations, indemnification, disputes, and other provisions intended to survive will remain effective to the extent permitted by law.

17. Force Majeure

To the fullest extent permitted by law, Foundative will not be responsible for delays or failures caused by events beyond its reasonable control.

Such events may include natural disasters, government actions, widespread internet outages, infrastructure failures, labor disruptions, or other extraordinary circumstances.

This provision does not excuse obligations or responsibility that cannot lawfully be excluded.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, except where mandatory consumer laws require otherwise.

Subject to applicable law, disputes arising from or relating to these Terms may be brought before courts of competent jurisdiction located in Santa Clara County, California.

Nothing in this section deprives consumers of mandatory protections or access to courts available under applicable law.

Before initiating formal proceedings, you are encouraged to contact mailto:support@result.dev with a description of the issue and the resolution requested.

Contacting us is not a mandatory prerequisite where prohibited by law and does not waive legal rights or extend applicable limitation periods.

These Terms do not impose mandatory arbitration or a class-action waiver.

19. Changes to These Terms

We may update these Terms to reflect changes in the Services, technology, business operations, or applicable law.

Material changes will be communicated with appropriate advance notice where required.

We will obtain additional consent where legally necessary.

Changes will not retroactively eliminate existing rights or remedies.

If you disagree with updated Terms, you may stop using the Services and cancel your subscription.

Continued use following legally sufficient notice may constitute acceptance only where permitted by law.

20. General Provisions

20.1 Entire Agreement

These Terms, together with expressly applicable supplemental agreements, constitute the agreement between you and Foundative regarding the Services.

20.2 Severability

If any provision is found invalid or unenforceable, it will be limited or severed as necessary, and the remaining provisions will remain effective where permitted by law.

20.3 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

20.4 Assignment

You may not assign these Terms without Foundative's prior written consent, except where applicable law provides otherwise.

Foundative may assign these Terms in connection with a merger, acquisition, restructuring, or lawful transfer of its business, subject to applicable law.

20.5 No Fiduciary Relationship

Use of Coral does not, by itself, establish an employment, partnership, joint venture, fiduciary, or professional advisory relationship between you and Foundative.

Coral may perform authorized tasks without Foundative becoming your legal, financial, medical, or other professional advisor.

20.6 Electronic Communications

You consent, where legally permitted, to receive service-related communications electronically through supported messaging services, the dashboard, or contact details associated with your account.

Communications requiring separate consent remain subject to applicable law.
